Section 1: Introduction

Welcome to competes.tv! Thank you for using competes.tv and our affiliates platforms, websites,

applications, and the products, services, content, and features we offer, cumulatively referred to our

“Service.”

Our Service allows you to discover, watch, and share videos on competes.tv and it allows for viewers

to vote and comment on videos. You can also upload videos and compete in contests.

You should only upload videos that you own or videos where you have permission from the owner of

the videos to upload those videos. If you need help uploading videos, voting on videos, or navigating

other features of the platform, please visit the Help Center on the competes.tv app or the FAQ section on www.competes.tv.

By accessing or using our Service, you agree to be bound by the Terms of Service, Community Guidelines, Contest Rules, and Privacy Policy (cumulatively referred to as the “Agreement”).

Please read this Agreement carefully and make sure you understand it. If you do not agree with any part of it, then you may not use our Service. However, if you use competes.tv and/or our Service, that means that you have agreed to act in compliance with the terms of the Agreement.

Section 2: Users

Age Requirements, Permission by Parent or Guardian

If you are under 18, you represent that you have your parent or guardian’s permission to use our Service. Please ensure that they read and understand this Agreement with you.

If you are a parent or legal guardian of a user under 18, allowing your child to use the Service means you are subject to the terms of this Agreement and responsible for your child’s activity on competes.tv.

We offer tools and resources to help you manage your family’s experience on competes.tv, including enabling a child under 13 to use the Service.

Businesses

If you are using our Service on behalf of a company or organization, you represent that you have the authority to act on behalf of that entity, and such entity accepts and agrees to this Agreement.

Section 3: Content, Accounts, and Permissions and Restrictions

Content on the Service:

The content available on competes.tv includes videos, audio (e.g., music and other sounds), graphics, photos, text (such as comments and scripts), branding (including trade names, trademarks, service marks, or logos), interactive features, software, metrics, and other materials, whether provided by you, competes.tv, or a third party (collectively, “Content”). 2.  You are responsible for the Content you provide to the Service. competes.tv is not obligated to host or serve Content. If you come across any Content that you believe violates this Agreement or our Community Guidelines or infrings upon the law, you can report it to us at admin@competes.tv.com.

competes.tv Accounts:

While parts of our Service can be accessed without a competes.tv account, certain features require one. With a competes.tv account, you may like videos, subscribe to channels, create your own competes.tv channel, and more. Creating a competes.tv account gives you access to additional features like uploading videos, making comments, and/or voting.

Privacy

Your Information:

Your privacy is important to us. Our Privacy Policy explains how we treat your personal data and protect your privacy while using our Service.

Permissions and Restrictions

You may access and use our Service as made available to you, as long as you comply with this Agreement, Community Guidelines, Contest Rules, Privacy Policy, and the applicable law.

• You may not access, reproduce, download, distribute, transmit, broadcast, display, sell, license, alter, modify, or otherwise use any part of the Service or any Content except as expressly authorized by competes.tv and, if applicable, the respective rights holders.

• You may not make unauthorized copies, reverse engineer, decompile, disassemble, modify, adapt, translate, or create derivative works of the Service or any Content, including any files, tables or documents or determine or attempt to determine any source or object code, algorithms, or methods embodied by the Service.

• You may not circumvent, disable, fraudulently engage with, or otherwise interfere with any part of the Service, including without limitation, security-related features or features that

prevent or restrict Content copying or use.

• You may not distribute, upload, transfer, store or send any malicious code, viruses, trojans, worms, or other software, code or material that is technically harmful.

• You may not integrate or combine the Service with other software, products, or programs.

competes.tv, may decide in its sole discretion, to refuse service, limit access, or terminate accounts.

• You may not access the Service using any automated means, except with competes.tv’s prior written permission.

• You may not collect or harvest any private information of other persons, including without limitation, addresses, phone numbers, email addresses, credit card numbers, identifiers (such as passport or driver’s license numbers).

• You may not falsely impersonate other persons/entities, or misrepresent your affiliations with other persons/entities, including without limitation, relating to accounts, channels, or Content, or use or attempt to use another person/entity’s account, or create false identity on the Service.

• You may not post Content that is defamatory, obscene, pornographic, harassing, violent, or abusive conduct, including without limitation Content that promotes violence, abuse, or self-harm.

• You may not use the Service or post Content that infringes the intellectual property rights or privacy rights of other persons/entities.

• You may not use the Service to distribute unsolicited promotional or commercial content or other unwanted spam or mass solicitations.

• You may not misrepresent genuine user engagement with the Service, including artificially inflating metrics like votes, video views, likes, dislikes, subscribers.

• You may not misuse reporting, flagging, complaint, dispute, or appeals processes, including making groundless or vexatious submissions.

• You may not take actions that prevent or restricts others from access to, or use of the Service, or which expose competes.tv, the Service, or its users to harm or liability.

Community Guidelines:

1. Only post material that you have the rights to post. Do not post material that is owned by another party or content that you don’t have the rights to post.

2. Do not post illegal content or content that promotes any illegal activity.

3. Do not post violent, abusive, gruesome, or cruel content.

4. Do not post content that harms or endangers children, people, or animals.

5. Do not post pornography, nudity, or sexually explicit content.

6. Do not post content that is fraudulent, misleading, or attempts to defraud others

Rights You Grant

You retain ownership rights to your Content. However, we do require you to grant certain rights to competes.tv and other users of the Service, as described below.

License to competes.tv

By providing Content to the Service, you grant to competes.tv a worldwide, non-exclusive, royalty- free, sublicensable, and transferable license to use that Content (including to reproduce, distribute, prepare derivative works, display, and perform it) in connection with the Service and competes.tv (and their successors and Affiliates) business, including for the purpose of promoting and redistributing part or all of the Service.

Your Content and Conduct

Uploading Content

If you have a competes.tv account, you may be able to upload Content to the Service. You may use your Content to promote your business or artistic enterprise. If you choose to upload Content, you must not submit to the Service any Content that does not comply with this Agreement (including content that violates the competes.tv Community Guidelines) or the law. For example, the Content you submit must not include third-party intellectual property (such as copyrighted material) unless you have permission from that party or are otherwise legally entitled to do so. You are legally responsible for the Content you submit to the Service. We may use automated systems that analyze your Content to help detect infringement and abuse, such as spam, malware, and illegal content.

Right to Monetize

You grant to competes.tv the right to monetize your Content on the Service (and such monetization may include displaying ads on or within Content or charging users a fee for access). This Agreement does not entitle you to any payments for such monetization.

You may not run contests on the Service that do not comply with competes.tv’s Contest Rules, Community Guidelines, and this Agreement.

competes.tv License to Users

Subject to the terms of this Agreement, you are hereby granted a non-exclusive, limited, non-transferable, non-sublicensable, revocable, worldwide license to access and use the Service, including downloading and using the competes.tv application on a permitted device, and accessing the Content solely for your personal, non-commercial use through your use of the Service and solely in compliance with these Terms. However, no rights are licensed relating to musical works through the Service.

competes.tv reserves all rights not expressly granted herein in the Services and the Content.

competes.tv may terminate this license at any time for any reason or no reason.

No Representations – Content, Third-Party Services or Links:

competes.tv makes no representations, warranties, or guaranties (whether express or implied) that any Content is correct, accurate, or current. competes.tv does not have any obligations to screen, review, investigate, or validate any Content, including without limitation, content from users or third parties.

Our Service may contain links to third party websites and services that competes.tv does not own or control. We have no responsibility for third party websites and services. Please read their terms and privacy policies when leaving our Service.

Section 4: Strikes and Copyright Protection

Strikes

Violations of competes.tv Agreements will subject you to strikes and may lead to limitations or permanent removal of your access to and usage of competes.tv. If you believe a strike was issued in error, you can appeal by emailing admin@competes.tv.com.

Copyright Protection:

We assist copyright holders by managing their intellectual property online. If you believe your copyright has been infringed, please send us notice to admin@competes.tv.com. Copyright infringement may lead to termination of access to the Service.

Section 5: Account Suspension & Termination

Terminations by You:

You have the right to stop using our Service at any time.

Terminations and Suspensions by competes.tv:

competes.tv reserves the right to suspend or terminate your competes.tv account or access to our Service if you breach this Agreement, to comply with legal requirements or court orders, or if there is conduct that may create liability or harm to users, third parties, competes.tv, or its Affiliates.

Section 6: Notices

Notice for Termination or Suspension:

We will provide you with a reason for termination or suspension, except when prohibited by law, service integrity, or user harm.

Develop, Improve, and Update the Service

competes.tv is constantly changing and improving the Service. As part of this continual evolution, we may make modifications or changes (to all or part of the Service), such as adding or removing features and functionalities, offering new digital content or services, or discontinuing old ones. We may also need to alter or discontinue the Service, or any part of it, to make performance or security improvements, comply with the law, or prevent illegal activities on or abuse of our systems. These changes may affect all users, some users, or even an individual user. When the Service requires or includes downloadable software (such as the competes.tv Studio application), that software may update automatically on your device once a new version or feature is available, subject to your device settings.

Section 7: Disclaimers

Warranty Disclaimer:

OTHER THAN AS EXPRESSLY STATED IN THIS AGREEMENT OR AS REQUIRED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND competes.tv DOES NOT MAKE ANY SPECIFIC COMMITMENTS OR WARRANTIES ABOUT THE SERVICE. FOR EXAMPLE, WE DON’T MAKE ANY WARRANTIES ABOUT: (A) THE CONTENT PROVIDED THROUGH THE SERVICE; (B) THE SPECIFIC FEATURES OF THE SERVICE, OR ITS ACCURACY, RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS; OR (C) THAT ANY CONTENT YOU SUBMIT WILL BE

ACCESSIBLE ON THE SERVICE.

Limitation of Liability

EXCEPT AS REQUIRED BY APPLICABLE LAW, competes.tv, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE RESPONSIBLE FOR ANY LOSS OF PROFITS, REVENUES, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS;

LOSS OR CORRUPTION OF DATA; INDIRECT OR CONSEQUENTIAL LOSS; PUNITIVE DAMAGES

CAUSED BY:

1. ERRORS, MISTAKES, OR INACCURACIES ON THE SERVICE;

2. PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE

SERVICE;

3. ANY UNAUTHORIZED ACCESS TO OR USE OF THE SERVICE;

4. ANY INTERRUPTION OR CESSATION OF THE SERVICE;6

5. ANY VIRUSES OR MALICIOUS CODE TRANSMITTED TO OR THROUGH THE SERVICE BY

ANY THIRD PARTY;

6. ANY CONTENT WHETHER SUBMITTED BY A USER OR competes.tv, INCLUDING YOUR USE OF CONTENT; AND/OR

7. THE REMOVAL OR UNAVAILABILITY OF ANY CONTENT.

THIS PROVISION APPLIES TO ANY CLAIM, REGARDLESS OF WHETHER THE CLAIM

ASSERTED IS BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

competes.tv AND ITS AFFILIATES’ TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF: (A) THE AMOUNT OF REVENUE THAT competes.tv HAS PAID TO YOU FROM YOUR USE OF THE SERVICE IN THE 12 MONTHS BEFORE THE DATE OF YOUR NOTICE, IN WRITING TO competes.tv, OF THE CLAIM; AND (B) USD $500.

Section 8: Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless competes.tv, its Affiliates, officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from your use of the Service, violation of this Agreement, violation of any third-party rights, or claims related to your Content causing damage to a third party. This obligation will survive this Agreement and your use of the Service.

Section 9: About This Agreement

Changing this Agreement:

We may change this Agreement to reflect changes in our Service or business, comply with legal, regulatory, or security requirements, or prevent abuse or harm. Material changes will be notified in advance, except for urgent situations or new product launches. If you don’t agree with new terms, remove your Content, and stop using the Service.

Continuation of this Agreement:

If your use of the Service ends, Sections 1-3, 7-10 and licenses granted by you will continue to apply.

Severability:

Unenforceable terms in this Agreement will not affect other terms.

No Waiver:

Our inaction on any breach does not waive our rights to take action in the future.

Interpretation:

“Include” or “including” means “including but not limited to,” and examples are for illustration.

Governing Law:

California law governs all claims arising from this Agreement or the Service, litigated exclusively in federal or state courts in the Northern District of California, USA, with personal jurisdiction accepted by you and competes.tv.

Section 10: Legal Action

Limitation on Legal Action

YOU AND competes.tv AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
